Welcome to Holp, a product provided by Holp Ltd (registered in England and Wales, Company No. 16582223). These Terms and Conditions (“Terms”) govern your access to and use of the Holp platform (“Service”). By using the Service, you agree to be bound by these Terms.
1. Using Holp
You must be at least 18 years old and legally capable of entering into contracts to use Holp. You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations.
2. Your Account
You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activity under your account, including that of team members you invite.
You agree to notify us immediately of any unauthorised use or security breach.
3. Subscription and Payment
Holp is a paid service. By subscribing, you agree to the pricing and billing terms provided to you. Failure to pay may result in suspension or termination of your access.
Unless otherwise agreed in writing, all subscriptions are billed monthly or annually in advance and are non-refundable.
Pricing Changes
We reserve the right to modify the pricing for our Services at any time. Any price changes will apply to the next billing cycle and will be communicated to you in advance. If you do not agree to the new pricing, you may cancel your subscription before the changes take effect.
4. Acceptable Use
You must not misuse the Service to harass, abuse, or harm others.
You must not attempt to reverse engineer, decompile, or copy any part of the Service.
You must not upload unlawful, harmful, or infringing content.
5. Intellectual Property
Holp and all related content and software are the intellectual property of Holp Ltd. We grant you a limited, non-exclusive, non-transferable licence to use the Service during your active subscription period.
6. Data and Privacy
By using Holp, you agree to our Privacy Policy. You retain all rights to your data. We will only use your data as outlined in the Privacy Policy and as necessary to provide and improve the Service.
You are responsible for ensuring that any data you upload does not violate applicable laws or third-party rights.
7. AI Limitations and Third-Party Dependencies
Holp uses AI models, including large language models developed by third-party providers, to power automated responses and other features. While we strive to ensure the accuracy and reliability of the AI-generated content, you acknowledge and agree that:
AI-generated responses may occasionally be inaccurate, incomplete, misleading, or inappropriate.
You are responsible for independently verifying any information provided by the AI, especially when making business, legal, or safety-related decisions.
We do not guarantee that the Service will be free from errors, bugs, or downtime, particularly when caused by issues with third-party AI providers or infrastructure.
Holp Ltd shall not be liable for any loss or damage arising from reliance on AI-generated content or failures caused by third-party tools or models that power the Service.
8. Availability and Support
We aim to provide high availability of the Service but do not guarantee uninterrupted access. Support response times and SLAs may vary depending on your plan. Outages due to maintenance or third-party services are not considered breaches of these Terms.
9. Termination
You may terminate your subscription at any time. Access will continue until the end of the current billing cycle.
We reserve the right to suspend or terminate access if you breach these Terms, abuse the service, or cause harm to our platform or reputation.
We may also suspend or restrict access to the Service temporarily or permanently, with or without notice, for conduct that we believe violates these Terms or could expose us to legal liability.
10. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service, including but not limited to loss of data, profits, or reputation.
Our total liability to you shall not exceed the amount paid for the Service in the 12 months prior to the claim.
11. Modifications
We may update these Terms from time to time. We will notify you of any material changes. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
12. Force Majeure
Holp Ltd shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, internet failures, third-party service outages, government actions, or labour disputes.
13. Feedback
If you provide feedback or suggestions about the Service, we may use it without obligation to you. You grant us a non-exclusive, perpetual, irrevocable licence to use such feedback for any purpose.
14. Changes to the Service
We may add, remove, or modify features or functionality of the Service at our discretion. We will make reasonable efforts to notify users of significant changes but are not obligated to maintain any specific feature set.
15. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
